1. OUR SERVICES

Ignite NP LLC provides professional education, continuing education materials, digital resources, and community discussion spaces for nurse practitioners and other clinicians. The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation or subject us to registration. Users who access the Services from other locations do so on their own initiative and are responsible for local compliance.

HIPAA & Privacy: The Services are not HIPAA-compliant and must not be used to store or transmit identifiable patient information. Users must fully de-identify any clinical details shared.

Professional Education: Content is for education and professional development only, does not constitute medical advice, and does not create a provider–patient relationship. Clinicians are responsible for independent clinical judgment and compliance with applicable laws, scope, and standards.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or licensee of all intellectual property rights in the Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, course materials, templates, and downloads (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”). Our Content and Marks are protected by copyright, trademark, and other laws worldwide. The Content and Marks are provided “AS IS” for your personal professional use or internal business purposes only.

Your use of our Services

Subject to your compliance with these Legal Terms (including Section 4 – Prohibited Activities), we grant you a limited, non-exclusive, non-transferable, revocable license to (a) access the Services; and (b) download or print portions of the Content to which you have lawful access, solely for personal professional use or internal business purposes.

Except as expressly permitted, no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission. To request permission, contact [email protected]. If permission is granted, you must identify us as the owner/licensor and retain all copyright/proprietary notices.

We reserve all rights not expressly granted. Any breach of this Section is a material breach and will terminate your right to use the Services.

Your submissions

By sending us any question, comment, suggestion, idea, feedback, or other information about the Services (“Submissions”), you agree to assign to us all intellectual property rights in such Submissions and acknowledge we may use them for any lawful purpose without acknowledgment or compensation.

You are responsible for what you post or upload and you: (i) confirm you have read and agree with Section 4 – Prohibited Activities; (ii) waive any moral rights to Submissions to the extent permitted by law; (iii) warrant the Submissions are original or you have rights to submit them and grant the rights stated; and (iv) warrant your Submissions are not confidential. You are solely responsible for your Submissions and agree to reimburse us for losses arising from your breach, third-party IP claims, or violations of law.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) you have legal capacity and agree to comply with these Legal Terms; (2) you are not a minor in your jurisdiction; (3) you will not access the Services through automated or non-human means; (4) you will not use the Services for any illegal or unauthorized purpose;

(5) your use will comply with applicable laws and regulations. We may suspend or terminate your account for untrue, inaccurate, not current, or incomplete information;

(6) When creating an account, you agree to provide accurate, complete, and current information. You are responsible for safeguarding your login credentials and for all activity occurring under your account. You must notify us immediately at [email protected] if you suspect unauthorized access or security breaches; and

(7) You may not use a username that impersonates another person or infringes upon another party’s intellectual-property rights. We reserve the right to suspend or terminate accounts that violate these Terms.

4. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than those we make available. Prohibited conduct includes, without limitation, to:

• Systematically retrieve data or Content to create a database or directory without our written permission.

• Trick, defraud, or mislead us or other users; attempt to learn sensitive account info.

• Circumvent, disable, or interfere with security features or usage limitations.

• Disparage, tarnish, or otherwise harm us or the Services.

• Use information from the Services to harass, abuse, or harm another person.

• Make improper use of support services or submit false reports.

• Use the Services in violation of laws or regulations.

• Unauthorized framing or linking.

• Upload/transmit viruses, malware, or disruptive content (including spam).

• Engage in automated use (bots, scrapers, data mining) without authorization.

• Delete copyright or proprietary notices from Content.

• Impersonate another user or use another’s username.

• Upload/transmit covert data collection mechanisms (e.g., web bugs, spyware).

• Interfere with or burden the Services/networks.

• Harass, intimidate, or threaten our staff.

• Bypass access-control measures.

• Copy or adapt Services software or reverse engineer except as permitted by law.

• Use, launch, or distribute spiders/robots/offline readers/unauthorized scripts.

• Use a buying/purchasing agent to make purchases on the Services.

• Collect users’ emails/usernames for unsolicited emails or create accounts under false pretenses.

• Use the Services to compete with us or for any revenue-generating endeavor.

• Advertise or solicit goods/services in the Services or communities without written approval.

• Sell or transfer your profile/account (non-transferable license only).

• Post identifiable patient information (platform is not HIPAA-compliant).

• Copy, screenshot, record, or redistribute other users’ contributions outside the platform without explicit consent, including any use that could harm, misrepresent, or defame.

5. USER GENERATED CONTRIBUTIONS

The Services may allow you to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services, including text, writings, video, audio, photographs, graphics, comments, suggestions, or other material (“Contributions”). Contributions may be viewable by other users and through third-party sites.

When you create or make available any Contributions, you represent and warrant that they are lawful, professional, fully de-identified (no patient PHI), and comply with these Legal Terms and our Code of Conduct. You also agree not to post copyrighted/proprietary materials without permission and to respect peers’ privacy and professional reputations.

6. CONTRIBUTION LICENSE

You retain ownership of your Contributions. By posting Contributions, you grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, display, and otherwise use your Contributions within the Services for educational, operational, and community purposes. We are not liable for statements in your Contributions. You are solely responsible for your Contributions and agree to refrain from legal action against us regarding them.

By submitting feedback or suggestions, you agree we may use and share such feedback for any purpose without compensation.

7. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations; (2) take legal action for violations, including reporting to law enforcement; (3) refuse, restrict, limit, or disable any Contribution; (4) remove or disable files/content excessive in size or burdensome to systems; and (5) otherwise manage the Services to protect rights and facilitate proper functioning.

8. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services. We may deny access (including IP blocking), terminate participation, or delete content at any time and without notice, including for breach of these Terms or applicable law. If we terminate or suspend your account, you may not register a new account under your name, a fake/borrowed name, or any third party’s name. We reserve all rights to pursue civil, criminal, and injunctive remedies.

We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or engage in conduct that may harm Ignite NP LLC or other users. Upon termination, all rights granted to you cease immediately. You may terminate your account at any time by discontinuing use and contacting [email protected]. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

9. MODIFICATIONS AND INTERRUPTIONS

We may change, modify, or remove contents of the Services at any time, and have no obligation to update information. We are not liable for any modification, price change, suspension, or discontinuance. We cannot guarantee the Services will be available at all times and are not liable for downtime, delays, or errors. Nothing herein obligates us to maintain or support the Services or provide corrections/updates/releases.

10. GOVERNING LAW

These Legal Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles. To the extent any matter proceeds in court (see Section 11), the state or federal courts located in Sheridan County, Wyoming shall have exclusive jurisdiction, and you consent to personal jurisdiction and venue there.

11. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control costs, the parties agree to first attempt to resolve any dispute, controversy, or claim related to these Legal Terms (“Dispute”) informally for 30 days after written notice.

Binding Arbitration (AAA – Sheridan County, Wyoming)

Except for claims qualifying for small claims court or injunctive relief for IP/confidentiality, any Dispute not resolved informally will be exclusively and finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, before one (1) arbitrator, in Sheridan County, Wyoming, in English. Judgment on the award may be entered in any court having jurisdiction.

Fees: Each party bears its own attorneys’ fees and costs; if arbitration fees are deemed excessive compared to typical court filing fees, Ignite NP LLC will pay the portion necessary to ensure the process remains accessible and fair.

Restrictions / Class Action Waiver

Arbitration shall be conducted only on an individual basis. No class, consolidated, or representative actions are permitted, and the arbitrator may not consolidate claims.

Exceptions

Nothing prevents either party from seeking injunctive or equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property or confidentiality rights.

Time Limitation

Any claim must be commenced within one (1) year after the cause of action accrues, or it is permanently barred.

12. CORRECTIONS

Information on the Services may contain typographical errors, inaccuracies, or omissions (including descriptions, pricing, and availability). We reserve the right to correct and update such information at any time without prior notice.

13. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOU AGREE YOUR USE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF CONTENT OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Professional Education Disclaimer: The Services provide educational content only and do not constitute medical advice, diagnosis, or treatment. Participation does not create a provider–patient relationship. Clinicians must exercise independent judgment and adhere to applicable laws, scope, and standards.

HIPAA and Privacy Compliance Disclaimer: The Services are not HIPAA-compliant. Do not store, transmit, or discuss identifiable patient information. Users are solely responsible for ensuring all posted information is fully de-identified and legally compliant.

Our Services may contain links to third-party websites or integrate with platforms such as payment gateways, webinar providers, or marketing tools. Ignite NP LLC is not responsible for the content, privacy policies, or practices of third parties. Your dealings with those entities are solely between you and them. We are not responsible for third-party products/services advertised or linked through the Services and are not a party to transactions with such providers. Use your best judgment. We strongly advise you to review each third party’s own terms and privacy policy before engaging with their services.

14. LIMITATIONS OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IGNITE NP LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT WILL OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO IGNITE NP LLC DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS (US $100). Some jurisdictions do not allow certain exclusions/limitations, so some may not apply.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Ignite NP LLC, its affiliates, officers, agents, partners, and employees from and against any loss, damage, liability, claim, or demand (including reasonable attorneys’ fees) arising out of: (1) your use of the Services; (2) your breach of these Legal Terms; (3) your breach of representations/warranties; (4) your violation of third-party rights (including IP); or (5) any harmful act toward another user. We may assume exclusive defense at your expense; you agree to cooperate with our defense.

16. USER DATA

We maintain certain data you transmit to the Services for performance and operations. Although we perform routine backups, you are solely responsible for the data you transmit and any activity undertaken using the Services. We have no liability for loss or corruption of such data. 17. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, emailing us, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND TRANSACTION RECORDS.

18. PRICING AND PAYMENT TERMS

All prices are listed in U.S. Dollars unless otherwise stated. We reserve the right to modify pricing prospectively at any time. The price displayed at checkout represents the full price payable for that order, inclusive of any applicable taxes or fees.

By submitting payment information, you represent that you are authorized to use the chosen payment method and authorize us or our payment processor to charge the full amount. You agree to maintain accurate billing information and to pay all amounts due promptly. If payment fails or is reversed, we may suspend access until payment is complete.

19. ORDER AND REFUND POLICY

19.1 Digital Products and Courses

All sales of digital products, courses, memberships, and downloads are final once access is granted, except where a written money-back guarantee is expressly offered. Refunds will not be provided for change of mind, non-participation, or inability to use the materials.

19.2 Consulting and Live Events

Consulting or event registrations may be refundable only under the specific terms stated at purchase. Ignite NP LLC reserves the right to reschedule or substitute comparable speakers, venues, or formats. If a live event is canceled without rescheduling, your sole remedy is a refund of the ticket price paid.

19.3 EU Digital Content Consumers

If you reside in the European Union, you consent to immediate access to digital content upon purchase and acknowledge that by doing so you waive your statutory 14-day withdrawal right once access begins.

19.4 Promotions

From time to time, Ignite NP LLC may offer discounts, bundles, or promotional events (“Promotions”). Promotions may have additional terms, including duration and eligibility requirements. If Promotion rules conflict with these Terms, the Promotion terms will govern solely for that Promotion.

20. SEVERABILITY

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified or interpreted to achieve the intent of the original provision as closely as possible, and the remaining provisions shall remain in full force and effect.

20. TRANSLATION AND INTERPRETATION

These Terms may be translated into other languages for user convenience. In the event of a conflict or ambiguity, the original English version shall prevail and control all interpretations.

21. U.S. LEGAL COMPLIANCE AND EXPORT RESTRICTIONS

You represent and warrant that (i) you are not located in or a national of a country subject to a U.S. government embargo or designated as a “terrorist-supporting” country, and (ii) you are not listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export-control and sanctions laws in connection with your use of the Services.

22. FOR EUROPEAN UNION AND UNITED KINGDOM USERS

If you are a consumer residing in the EU or UK, you are entitled to the benefit of any mandatory provisions of the law of your country of residence. Nothing in these Terms limits your rights under such mandatory law.

23. MISCELLANEOUS

These Legal Terms, together with any policies or operating rules posted by us (including our Privacy Policy, Disclaimer, and Code of Conduct), constitute the entire agreement between you and us regarding the Services. Our failure to enforce any right or provision is not a waiver. These Terms operate to the fullest extent permitted by law. We may assign our rights and obligations at any time. We are not liable for delays/failures caused by circumstances beyond our reasonable control. If any provision is unlawful, void, or unenforceable, that provision is severable and does not affect the validity of remaining provisions. No joint venture, partnership, employment, or agency relationship is created by your use of the Services. You waive any defenses based on the electronic form of these Terms and lack of signing by the parties.

Code of Conduct (Summary & Incorporation by Reference): By using the Services, you agree to uphold professionalism, de-identify clinical details, refrain from harassment or solicitation, respect intellectual property, protect account security, and not copy/screenshot/redistribute other users’ content outside the platform without consent.

Violations may result in removal without refund. The full Code of Conduct is incorporated by reference and available from us on request or via site link.

Updates to Legal Terms: We will notify users of material updates by email or in-platform notice before they become effective. Minor clarifications may be effective upon posting. Continued use after the effective date constitutes acceptance.
